We ask every Partner / Sponsor to:

Terms & Conditions - Industry Partners and Sponsors
Event Date: January 3-5, 2027 

Location: Westin Resort, Cape Coral, Florida

Assemblé is a hosted buyer networking event created to bring together qualified dance studio owners and leading companies in an environment designed for meaningful conversations, relationship building, and business development. These Terms & Conditions ("Terms") apply to all companies participating as sponsors or industry partners of Assemblé (“Partner / Sponsor”). Submission of a sponsorship agreement, registration, payment, or other written confirmation of participation constitutes acceptance of these Terms.

1. Partnership / Sponsorship Commitment
Sponsorship is offered on a limited basis and is subject to availability and approval by Assemblé. Each package includes the benefits, opportunities, and participation described in the applicable sponsorship agreement or proposal. Benefits are specific to the purchasing company and may not be transferred, resold, or assigned to another company without prior written approval from Assemblé. Assemblé reserves the right to make reasonable adjustments to package benefits when necessary to accommodate venue requirements, scheduling, production considerations, or circumstances beyond its control, while making reasonable efforts to provide comparable value.

2. Payment
Fees and payment schedules are outlined in the applicable sponsorship agreement or invoice. Unless otherwise agreed in writing:

Fees are due according to the payment schedule provided by Assemblé.
Benefits may be withheld until required payments are received.
Any unpaid balance remains the responsibility of the Sponsor regardless of attendance or participation.
Assemblé reserves the right to cancel a Partner's participation if payment obligations are not met.

3. Partner / Sponsor Representatives
Each package includes a designated number of representatives. Additional representatives may be permitted based on availability and may be subject to an additional fee. Partners must provide representative information by the deadlines communicated by Assemblé. If a registered representative becomes unavailable, the Partner may request a substitute representative from the same company. Substitutions are subject to approval by Assemblé and should be communicated as soon as possible. A representative substitution does not constitute cancellation and does not result in a refund.

4. Hosted Buyer Participation
Assemblé is designed around personal connections between Partners and hosted studio owners. Partners/Sponsors agree to:

Participate in scheduled hosted studio owner appointments and networking opportunities.
Arrive on time and prepared for scheduled meetings.
Provide accurate information regarding their company, products, services, and areas of interest.
Engage studio owners in a professional, respectful, and authentic manner.
Honor the time allotted for scheduled appointments.
Notify Assemblé staff promptly if an unavoidable scheduling conflict occurs.
Because studio owner participation is a core component of the Assemblé experience, repeated missed appointments or failure to participate in scheduled activities may affect a Sponsor's eligibility for future Assemblé events.
Assemblé does not guarantee a specific number of sales leads, appointments, contracts, or business outcomes.

5. Relationship-First Approach
Assemblé is intentionally designed to foster meaningful relationships rather than high-pressure sales interactions. Partners are encouraged to:

Ask questions and learn about studio owners' needs.
Share relevant expertise and solutions.
Focus on building long-term relationships.
Respect studio owners' time and individual preferences.
Follow up appropriately after the event. Aggressive solicitation, disruptive behavior, or conduct that negatively impacts the hosted studio owner experience is not permitted.

6. Partner / Sponsor Materials & Deliverables
Partners are responsible for providing all requested materials by the deadlines established by Assemblé. These may include:

Company logo
Company description
Website and social media information
Sponsor representative names and titles
Headshots
Product or service descriptions
Presentations or session materials
Promotional materials
Other information requested for event marketing or onsite production

Assemblé will make reasonable efforts to accommodate late submissions but cannot guarantee inclusion in printed materials, signage, digital communications, or other promotional opportunities after the applicable deadline.

7. Branding & Promotional Materials
Sponsors may use their sponsorship opportunities to promote their company in accordance with the benefits included in their package.
All Sponsor-provided materials, graphics, presentations, giveaways, and promotional content must be professional, lawful, accurate, and appropriate for the Assemblé audience. Assemblé reserves the right to reject or remove any material that it reasonably determines to be:

Offensive or inappropriate
Misleading or inaccurate
Illegal
Discriminatory
Disruptive to the event
Inconsistent with the Assemblé brand or experience

Sponsors may not represent themselves as an owner, producer, or official representative of Assemblé unless specifically authorized in writing.

8. Sponsor Conduct & Code of Conduct
Assemblé is committed to creating a welcoming, professional, and inclusive environment for all participants. Sponsors and their representatives are expected to treat hosted buyers, other Sponsors, speakers, vendors, staff, and guests with courtesy and respect. Assemblé does not tolerate:

Harassment or discrimination
Threatening, abusive, or inappropriate behavior
Intimidation
Unwelcome conduct
Disruptive behavior
Illegal activity
Conduct that could reasonably damage the reputation of Assemblé or its participants

Assemblé reserves the right to remove an individual from the event or terminate a Sponsor's participation when circumstances warrant.

9. Photography, Video & Media
Photography, video, audio recording, and other forms of media may take place during Assemblé. By participating in the event, Partners acknowledge that their representatives may appear in photographs, video, social media content, promotional materials, or other communications related to Assemblé. Partners are responsible for informing their representatives of this policy. Partners may not record, photograph, or otherwise capture studio owners or other attendees for commercial purposes without appropriate permission.

10. Buyer Information & Privacy
Any contact information provided to Partners through Assemblé is intended to facilitate legitimate business communication and relationship building. Partners agree to use buyer information responsibly and in compliance with applicable privacy, marketing, and communication laws. Partners should honor any request from a studio owner to discontinue communications. Assemblé does not authorize Sponsors to sell, rent, distribute, or otherwise provide studio owner information to third parties without appropriate authorization.

11. Cancellation by Partner / Sponsor
Because Assemblé makes significant advance financial and operational commitments based on confirmed sponsorships—including venue expenses, hosted studio owner programming, food and beverage, staffing, production, marketing, and other event-related costs—Sponsor cancellations are subject to the following schedule:

All cancellation requests must be submitted in writing to Assemblé. The applicable cancellation date will be the date Assemblé receives the written cancellation notice. Any unpaid amounts that have become due under the sponsorship agreement remain payable in accordance with the agreement.

12. Partner / Sponsor Substitution
If a Partner is unable to attend, Assemblé may, at its discretion, allow the Partner to substitute one or more representatives from the same company. A Partner may not transfer, sell, or assign its sponsorship to another company without prior written approval from Assemblé. Assemblé reserves the right to decline a proposed substitute company or representative if the substitution would create a conflict, affect the studio owner experience, or otherwise be inconsistent with the event.

13. Event Cancellation, Postponement or Modification
Assemblé will make every reasonable effort to conduct the event as planned. However, circumstances beyond the reasonable control of Assemblé may require the event to be postponed, relocated, modified, or cancelled. Such circumstances may include, but are not limited to:

Severe weather or natural disasters
Public health emergencies
Government restrictions
Acts of terrorism
Civil unrest
Labor disputes
Venue closure or unavailability
Transportation disruptions
Utility or infrastructure failures
Acts of God
Other circumstances beyond Assemblé's reasonable control

If Assemblé postpones the event, Partner participation and payments will generally be transferred to the rescheduled event. If Assemblé cancels the event and does not reschedule it, Assemblé will determine an appropriate refund or credit after considering non-refundable expenses and commitments already incurred.
Assemblé will communicate any significant changes as promptly as reasonably possible.

14. Changes to Event Programming
Assemblé reserves the right to modify the event schedule, programming, speakers, studio owner participation, activities, venue arrangements, or other event elements when necessary. Assemblé will make reasonable efforts to preserve the overall value and intent of each sponsorship package. Specific studio owners, appointments, speakers, sessions, or networking opportunities are not guaranteed unless expressly stated in the Sponsor's agreement.

15. No Guarantee of Business Results
Assemblé provides opportunities for networking, relationship building, and business development. However, Assemblé does not guarantee:

A specific number of studio owner appointments
Sales leads
Revenue
Contracts
New accounts
Partnerships
Specific buyer participation
Any particular business outcome

The success of a Partner's participation depends on a variety of factors, including preparation, engagement, follow-up, and market conditions.

16. Sponsor Intellectual Property
Partners grant Assemblé permission to use their company name, logo, approved photographs, company descriptions, and other materials provided to Assemblé for purposes of promoting, producing, and documenting the event. Assemblé will use Sponsor trademarks and branding in a manner consistent with the materials and permissions provided by the Sponsor. Sponsors represent that they have the right to provide all materials submitted to Assemblé and that such materials do not infringe upon the rights of any third party.

17. Liability
Each Partner is responsible for the actions of its representatives and for any property, equipment, materials, or personal belongings it brings to the event.
Partners agree to comply with all applicable venue rules, regulations, and requirements. Assemblé is not responsible for loss, theft, damage, or disappearance of Partner’s property except to the extent caused by Assemblé's gross negligence or willful misconduct. Partners are responsible for obtaining any insurance they deem appropriate for their participation.

18. Indemnification
To the extent permitted by applicable law, Partner agrees to indemnify and hold harmless Assemblé, its owners, organizers, employees, contractors, and representatives from claims, damages, losses, liabilities, costs, or expenses arising from:

The Partner's participation in the event;
The actions or omissions of Partner representatives;
Partner-provided materials or content;
Violation of these Terms; or
Violation of applicable laws or third-party rights.

19. Termination of Sponsorship
Assemblé may terminate a Partner's participation if the Partner or its representatives:

Fail to meet payment obligations;
Violate these Terms;
Engage in illegal, threatening, abusive, discriminatory, or disruptive conduct;
Materially interfere with the experience of hosted studio owners or other participants; or
Engage in conduct that could reasonably harm the reputation or integrity of Assemblé.

In the event of termination for cause, the Partner may forfeit some or all package fees already paid and may remain responsible for unpaid amounts, as determined under the applicable agreement and circumstances.

20. Future Participation
Assemblé is committed to building a strong, long-term community of industry professionals. Participation in one Assemblé event does not guarantee acceptance, sponsorship availability, hosted studio owner access, or any particular sponsorship opportunity at future events.
